Seller Payout & Commission Policy

This policy explains seller payouts, settlement cycle, commission, marketplace fees, payment gateway charges, logistics deductions, refund/RTO adjustments, tax handling, payout hold, negative balance, disputes, chargebacks, penalties, and seller responsibilities on CapHanu Enterprise.

๐Ÿ“Œ Overview & Scope

CapHanu Enterprise may allow approved sellers, vendors, distributors, manufacturers, wholesalers, custom product partners, digital product creators, and marketplace partners to sell products through the platform. This Seller Payout & Commission Policy explains how seller earnings are calculated, when payout may be released, what deductions may apply, when payout may be held, and how disputes may be handled.

This policy applies to all seller orders, marketplace orders, custom orders, B2B orders, prepaid orders, COD orders, cancelled orders, returned orders, exchanged orders, refunded orders, RTO shipments, chargebacks, seller promotions, CapCoin/coupon campaigns, and any settlement handled by CapHanu Enterprise.

Payout release is subject to order completion, delivery confirmation, return window, refund status, seller compliance, bank verification, tax records, fraud review, and any written commercial terms agreed with the seller.

๐Ÿฆ Seller Payout Scope

Seller payout means the net amount payable to a seller after sale proceeds are received and all applicable deductions, reversals, adjustments, holds, taxes, fees, refunds, penalties, and recoveries are applied. Gross order value is not the same as seller payout.

Gross Sale Value Total customer order value before platform deductions, refund adjustments, or seller fees.
Net Settlement Amount payable to seller after commission, logistics, taxes, refunds, penalties, and other deductions.
Pending Settlement Amount not yet released due to delivery pending, return window, fraud review, dispute, or payout cycle.
Hold / Reserve Amount temporarily held for refunds, RTO, chargeback risk, seller risk, legal issue, or compliance review.
  • Payout may be calculated order-wise, item-wise, batch-wise, statement-wise, or seller-account-wise.
  • Marketplace tools may show estimated payout before final settlement; final payable amount may change after deductions or returns.
  • CapHanu Enterprise may settle through bank transfer, UPI, payout gateway, manual payout, credit note, or other approved mode.
  • Seller must maintain active verified bank and tax details to receive payout.

๐Ÿ’ผ Commission, Marketplace Fees & Service Charges

CapHanu Enterprise may charge commission, marketplace fee, technology fee, payment collection fee, payment gateway fee, logistics fee, packaging fee, listing fee, promotional fee, seller service fee, fulfilment fee, storage fee, penalty fee, or any other commercial fee according to seller category, product category, agreement, campaign, and platform rules.

Fee Type Meaning When It May Apply
Marketplace Commission Platform commission for enabling sale through CapHanu Enterprise. On eligible delivered/settled orders according to category or seller agreement.
Payment Gateway / Collection Fee Cost of online payment, COD collection, wallet/payment processing, or settlement. On prepaid, COD, wallet, card, UPI, net banking, or payment provider transactions.
Logistics / Shipping Fee Courier, forward shipping, reverse shipping, RTO, weight dispute, or special shipping charge. Based on product weight, volumetric weight, pincode, courier, shipment status, and return/RTO responsibility.
Packaging / Handling Fee Packaging material, handling, fulfilment, quality check, or warehouse processing cost. For fulfilment-supported, fragile, custom, bulk, or special packaging orders.
Promotion / Campaign Fee Seller-funded coupon, discount, CapCoin, featured listing, ad, affiliate, or campaign participation cost. Where seller enrolls or agrees to promotional/campaign terms.
Penalty / Recovery Deduction for policy breach, wrong dispatch, poor packaging, delay, refund, customer compensation, or seller liability. When seller action or non-compliance causes cost, loss, or customer issue.

Commission and fees may vary by product category, seller tier, volume, risk, campaign, fulfilment model, return rate, and written commercial agreement. CapHanu Enterprise may update fee structures with notice through platform, email, policy page, seller panel, or written agreement.

๐Ÿ“… Settlement Cycle & Payout Release

Payout is normally released after the order reaches an eligible settlement stage. Settlement may depend on delivery confirmation, courier data, return window, customer complaint status, refund status, bank verification, tax compliance, and seller risk review.

  • Orders may become settlement-eligible only after successful delivery and completion of the applicable return/refund review period.
  • Prepaid order payout depends on successful payment capture and settlement from payment gateway.
  • COD order payout depends on courier cash collection confirmation and remittance to platform/payment partner.
  • Returned, cancelled, RTO, disputed, or chargeback-linked orders may be excluded from payout until closure.
  • Payout may be processed daily, weekly, fortnightly, monthly, or according to seller-specific commercial terms.
  • Bank holidays, payment gateway delay, incorrect bank details, tax verification, system maintenance, or compliance review may delay payout.

๐Ÿงพ Payout Deductions & Adjustments

Seller payout may be reduced by direct deductions, pending recoveries, fee adjustments, refund reversals, shipping charges, return charges, penalty amounts, promotional cost, tax deductions, negative balance recovery, or previous statement corrections.

  • Marketplace commission and applicable GST/tax on platform services.
  • Forward shipping, reverse shipping, RTO, weight discrepancy, packaging, and handling charges.
  • Payment gateway, COD collection, bank, settlement, or payout processing charges where applicable.
  • Customer refund, replacement cost, partial refund, goodwill credit, wallet credit, CapCoin reversal, or customer compensation linked to seller fault.
  • Seller-funded coupons, campaigns, free shipping, CapCoin, cashback-style offers, affiliate commissions, or promotional benefits.
  • Penalties for late dispatch, wrong product, fake product, poor packaging, high cancellation, policy breach, or non-cooperation.
  • Chargebacks, payment disputes, fraud loss, legal recovery, or account balance correction.

Payout statements may show item-wise deductions where technically available. Some adjustments may be grouped under platform fees, logistics charges, refunds, promotion adjustments, or other recovery headings.

๐Ÿ” Return, Refund, Replacement & RTO Settlement

Returns, refunds, replacements, exchanges, cancellations, and RTOs directly affect seller payout. Responsibility may depend on product condition, seller listing accuracy, dispatch quality, packaging, customer proof, courier records, return inspection, and platform decision.

RTO due to seller delay/wrong dispatch Seller may bear charges and cancellation impact. Late dispatch, wrong AWB, poor label, seller pickup issue.

If payout for an order was already released and a later return/refund/chargeback occurs, CapHanu Enterprise may recover the amount from future payouts, wallet/ledger balance, security deposit, manual recovery, or other lawful means.

๐Ÿ’ณ Prepaid, COD & Payment Collection Settlement

Prepaid and COD orders may have different settlement timelines. Prepaid settlement depends on payment gateway confirmation and chargeback risk. COD settlement depends on courier cash collection, remittance, reconciliation, and RTO status.

  • Prepaid order payout may be delayed if payment is pending, failed, chargeback-linked, disputed, suspicious, or under risk review.
  • COD order payout may be delayed until courier partner confirms collection and remits cash to the platform or payment partner.
  • COD refusal, fake COD order, customer unreachable, or RTO may reduce or cancel payout eligibility.
  • COD handling charges or collection charges may be deducted from seller payout if applicable.
  • Duplicate payments, failed payments, or gateway reversals may be adjusted before payout release.

๐ŸŽ Coupons, CapCoin, Wallet, Referral & Affiliate Adjustment

Seller payout may be affected by promotional benefits linked to orders. This includes seller-funded coupons, platform-funded coupons, CapCoin, wallet credits, cashback-style benefits, referral rewards, affiliate commissions, free shipping, featured campaigns, and product discounts.

  • If the seller funds a discount, the discount may be deducted from seller payout.
  • If CapHanu funds a promotion, seller payout treatment may follow campaign terms.
  • If the order is returned, cancelled, refunded, or invalid, associated rewards and campaign benefits may be reversed.
  • Affiliate or referral rewards linked to seller orders may be adjusted if order becomes invalid or refunded.
  • Seller must not create fake orders, self-orders, reward farming orders, or artificial transactions to gain campaign benefits.

๐Ÿ“„ Tax, GST, TCS/TDS & Invoice Compliance

Seller is responsible for all taxes, GST registration where applicable, invoice correctness, HSN/SAC classification, tax rate accuracy, e-invoice/e-way bill where applicable, accounting records, income reporting, and statutory compliance related to seller sales.

  • Seller must provide correct GSTIN, PAN, business name, legal address, and tax details where required.
  • Seller must issue or support generation of valid invoice as required by law and platform process.
  • Applicable TCS/TDS, tax deduction, tax collection, or statutory adjustment may be applied where required.
  • Seller payout statement may not replace sellerโ€™s tax invoice or accounting records unless specifically stated.
  • Seller must consult their tax advisor for GST, income tax, TCS/TDS, accounting, and return filing responsibilities.
  • CapHanu Enterprise may hold payout if tax details are missing, invalid, mismatched, expired, or under verification.

CapHanu Enterprise may provide reports or statements for operational convenience, but legal tax compliance remains the sellerโ€™s responsibility.

๐Ÿ›๏ธ Bank Verification & Payout Mode

Seller payout will be released only to verified seller bank account or approved payout mode. The bank account should belong to the seller, business, proprietor, firm, company, or authorized entity accepted by CapHanu Enterprise.

  • Seller must provide correct account number, IFSC, beneficiary name, bank proof, and any required verification document.
  • Incorrect bank details may delay or fail payout. CapHanu Enterprise is not responsible for delay caused by wrong seller details.
  • Bank detail changes may be subject to OTP, admin approval, cooling period, fraud review, or document verification.
  • Payout may be rejected by bank due to inactive account, wrong IFSC, name mismatch, compliance issue, limit issue, or bank-side problem.
  • Seller must immediately report unauthorized bank detail changes or payout issues.

๐Ÿ›ก๏ธ Payout Hold, Reserve & Risk Review

CapHanu Enterprise may temporarily hold or reserve seller payout when needed to protect customers, platform, payment partners, courier partners, government compliance, or marketplace integrity.

  • High return rate, high RTO rate, high cancellation rate, late dispatch, or customer complaint spike.
  • Pending returns, refunds, chargebacks, warranty claims, legal complaints, or product safety concerns.
  • Suspicious orders, fake orders, self-orders, affiliate/referral abuse, coupon misuse, or payment risk.
  • Counterfeit goods, IP complaint, prohibited product, unsafe product, or compliance document issue.
  • Missing KYC, invalid GST/PAN/bank details, tax mismatch, or unresolved verification requirement.
  • Negative balance, pending penalty, previous adjustment, or unrecovered customer compensation.
  • Account suspension, investigation, seller exit, or termination process.

Payout hold may be partial or full. Held payout may be released, adjusted, reversed, recovered, or forfeited according to final review, applicable law, and seller agreement.

โž– Negative Balance & Recovery

A seller account may show negative balance when refunds, returns, RTO charges, penalties, chargebacks, campaign deductions, shipping costs, or previous payout corrections exceed available payable amount.

  • Negative balance may be adjusted against future payouts automatically.
  • CapHanu Enterprise may request seller to pay outstanding amount separately.
  • Listings, new orders, payout, or account access may be restricted until negative balance is cleared.
  • Security deposit, reserve, pending payout, or manual recovery may be used to settle outstanding dues.
  • Non-payment of dues may lead to suspension, termination, or legal recovery.

โš ๏ธ Chargebacks, Payment Disputes & Fraud Claims

If a customer raises chargeback, bank dispute, payment reversal, unauthorized transaction claim, fraud complaint, or payment gateway dispute for a seller order, the payout may be held, reversed, or adjusted until the case is resolved.

  • Seller may be required to provide dispatch proof, delivery proof, invoice, product proof, packing proof, and communication records.
  • If chargeback is decided against the platform/seller, amount may be recovered from seller if seller is responsible or order is linked to seller issue.
  • Fraudulent seller activity may lead to full payout hold, account suspension, and legal action.
  • CapHanu Enterprise may decide responsibility based on customer proof, courier proof, payment provider records, seller proof, and platform logs.

๐Ÿ“Š Payout Statements, Reports & Reconciliation

Seller may receive payout statements, settlement reports, ledger entries, invoice reports, deduction reports, or order-level settlement details through seller panel, email, admin support, or other approved channels where available.

  • Seller should review payout statements promptly.
  • Statement disputes should be raised within the allowed dispute period with clear evidence.
  • Minor rounding differences may occur due to tax, fees, payment gateway, or accounting calculations.
  • CapHanu Enterprise may issue correction entries if previous statement has error or later adjustment arises.
  • Seller should maintain independent accounting records and not rely only on platform dashboard for tax filing.

๐Ÿšช Seller Exit, Suspension & Final Settlement

If a seller account is closed, terminated, suspended, or voluntarily exits the marketplace, final settlement may be processed only after all pending orders, returns, refunds, RTOs, chargebacks, customer complaints, warranty claims, tax issues, legal claims, negative balance, and platform dues are resolved.

  • Final payout may be held for a reasonable risk period after seller exit.
  • Pending customer claims may be adjusted from final settlement.
  • Seller must continue to support warranty, return, refund, and legal obligations for orders already sold.
  • CapHanu Enterprise may retain necessary records for tax, legal, audit, fraud prevention, and dispute purposes.
  • If seller has outstanding dues, final payout may be adjusted or withheld until dues are cleared.

โš–๏ธ Payout Dispute Resolution

Sellers may raise payout disputes for commission, deduction, refund adjustment, logistics charge, RTO charge, penalty, tax deduction, campaign cost, negative balance, or missing payout through official seller support channels.

  • Seller must provide order ID, payout statement, invoice, dispatch proof, return proof, bank proof, screenshots, and clear explanation.
  • CapHanu Enterprise may review system logs, payment gateway records, courier records, customer support history, return inspection, and seller evidence.
  • Disputes raised after a long delay may be rejected if records are closed or evidence is unavailable.
  • Abusive, repetitive, fraudulent, or unsupported disputes may be rejected.
  • Correction, credit, debit, reversal, or rejection may be issued based on final review.

๐Ÿง‘โ€๐Ÿ’ผ Seller Responsibility

Seller is responsible for understanding payout terms before selling on CapHanu Enterprise. Seller should calculate product price, margin, tax, shipping, packaging, commission, return risk, RTO risk, promotional cost, and customer support cost before listing products.

  • Keep bank, GST, PAN, address, and contact details updated.
  • Dispatch correct products on time with safe packaging.
  • Maintain low return/RTO/cancellation rate and good customer experience.
  • Review payout statements regularly and raise disputes promptly.
  • Do not misuse platform offers, referral, affiliate, CapCoin, coupons, or seller campaigns.
  • Maintain records for accounting, tax, customer claims, and compliance.

๐Ÿ”„ Policy Updates & Commercial Changes

CapHanu Enterprise may update this Seller Payout & Commission Policy, commission structure, fee structure, payout cycle, settlement rules, deduction rules, reserve requirements, tax handling, campaign fee, or risk review process from time to time.

  • Changes may be communicated through website, seller panel, email, support notice, updated agreement, or policy page.
  • Continued selling or accepting new orders after update means seller acknowledges revised payout terms.
  • Order-level settlement may follow rules applicable at order time, statement time, or written agreement depending on the issue.
  • Separate seller agreement, commission sheet, campaign terms, or category rules may override this general policy where specifically agreed.
